Dividend policy
The Board of Directors in Sleep Cycle has adopted a dividend policy with the goal that dividend shall, over time, amount to between 40% and 60% of annual net profit after taxes.
Sleep Cycle has a history of profitability and strong cash generation. With an asset light business model underpinned by prepaid subscriptions, the Board of Directors opinion is that the company can deliver on its long-term strategic goals, including investments for increased revenue growth, in combination with an annual dividend yield.

Information regarding the public takeover offer by Velvet Cichlid
On 19 December 2022, Velvet Cichlid AB (the “ Bidder ”), a company controlled by a consortium consisting of GLA Invest SA, MCGA AB, h265 AB and Petter Wallin, announced a public takeover offer to the shareholders of Sleep Cycle to sell all shares in Sleep Cycle to the Bidder at a price of SEK 42.50 in cash per share (the “ Offer ”).
The independent members of the Board of Directors of Sleep Cycle unanimously recommend the shareholders to not accept the public cash offer by Velvet Cichlid.
